If it is found that the merchant has provided false or misleading information, the platform administration reserves the right to suspend or terminate the account without prior notice and to seek compensation for any damages resulting from this.

The platform does not bear any legal responsibility arising from disputes that may occur between the merchant and the buyer, and each party is responsible for their contractual obligations, unless there is direct negligence by the platform administration in performing its technical or legal services.

Article 3 – Conditions for Obtaining Products and Logistical Support Services:

The merchant is obligated to provide accurate and clear information about the products offered on the "ChaabanStores " platform, including type, specifications, quantity, price, and delivery time. Customers have the right to order the available products on the platform according to the displayed information, and the purchase process is binding on the merchant once the order is confirmed. The platform provides logistical support services in cooperation with accredited delivery partners, including delivery to customers, tracking shipments, and managing delivery and return processes. The merchant is responsible for preparing and packaging the product appropriately to ensure its safety during shipping and delivering the orders within the specified time frame. A user is not allowed to have more than one active account on the platform without explicit permission from the platform administration, and it is prohibited to use the account for illegal or unauthorized purposes. The platform administration reserves the right to suspend or delete accounts that violate the terms of use or in case of proven misconduct or inaccurate information, with the right to take legal action.

The merchant has the right to request the withdrawal of their profits from the platform at any time, according to the available withdrawal mechanism, considering the minimum withdrawal limit and any withdrawal or tax fees that may apply. The platform administration is committed to ensuring the security and confidentiality of all financial data, and reserves the right to freeze the profits of any account suspected of fraudulent activity until verification. In case of financial errors in the transfer or payment, the merchant must notify the platform administration within a maximum of 7 business days, and the error will be handled according to the established accounting systems.

The merchant is obligated to obtain all necessary licenses or permits to conduct their commercial activity and to pay all applicable fees or taxes on their products or services according to local laws. The merchant bears full legal responsibility for any violation of any law or regulation and agrees to compensate the "ChaabanStores " platform for any damages or costs arising from any breach or violation committed by the merchant while using the platform. In case of any commercial activity that violates the laws in force or exposes the "ChaabanStores " platform to legal liability, the platform has the right to take appropriate actions, including account termination or suspension. The merchant is responsible for all commercial activities conducted through their account on the platform and must take measures to avoid any actions or practices that may harm the platform's reputation or expose it to legal risks.

Article 10 – Rights:

Modifications to Services:

Merchants can withdraw their earnings 3 days after confirmation of order delivery by the customer. Withdrawal processes will be completed within a maximum of 5 business days from the request date. The merchant bears any bank transfer or international transfer fees that may apply.

Sales Procedures:

The product listed for sale will be activated after review and approval by the platform team. Upon order confirmation by the customer, the merchant will be notified to prepare and deliver the product within the specified period. A successful sale is considered complete upon customer confirmation of receipt or the expiration of the legal period without objection.

Purchase Procedures:

The buyer is required to pay the order amount before confirmation, according to the chosen payment method. The order can be canceled only before the merchant ships the product. If the merchant fails to ship within the specified period, the customer has the right to a full refund of the paid amount.

Dispute Resolution:

In case of any financial dispute between the customer and the merchant, the platform administration will intervene to review the complaint and make the appropriate decision based on the evidence provided by both parties.

Financial Security Policy:

The "ChaabanStores " platform is committed to providing the highest standards of financial transaction security and works with trusted payment partners to ensure the protection of payment data and the rights of all parties.

Article 18 – Prohibited Products and Content:

Upon detection or reporting of any prohibited product or content, the platform administration reserves the right to immediately remove the product or content and suspend or permanently ban the violating merchant or user account. Legal actions may be taken against the violating parties, and they bear full legal responsibility for any damages resulting from the display, sale, or marketing of prohibited products or content.

Article 19 – Lebanese Cybercrime Law:

Compliance with Lebanese Laws:

The "ChaabanStores " platform and all its users, including merchants, customers, and visitors, are subject to the Lebanese Cybercrime Law and any other relevant laws or regulatory statutes enacted in the Lebanese Republic.

Prohibited Actions:

The following actions are strictly prohibited on the "ChaabanStores " platform:

  • Hacking or attempting to hack the platform's systems, servers, or related accounts.

  • Distributing or spreading malware, viruses, or spyware.

  • Impersonating any person or entity with the intent to defraud or manipulate users.

  • Collecting users' data or sensitive information without explicit consent.

  • Engaging in any activity that disrupts or slows down the platform's services intentionally.

Cooperation with Authorities:

The platform administration reserves the right to cooperate fully with judicial and security authorities in case of suspected unauthorized electronic activity by providing login records and related data and disclosing information about the involved accounts as permitted by law.

Penalties:

The platform will take strict actions in case of proven cybercrime, including account suspension, permanent ban, and reporting the user to the relevant authorities.   • Abuse or harm to the platform or its users through any means.

  • Intentional disruption of operations or harm to the platform's reputation.

Temporary Restrictions:

Temporary restrictions may be imposed on the account (such as suspension of posting or selling privileges) for investigation or internal review purposes, and the account may be reactivated after rectifying the situation or providing the necessary clarifications.

Platform's Non-Liability:

Merchant's Warranty Obligation:

The merchant is obligated to provide a clear and explicit warranty, if applicable, related to the quality, functionality, or conformity of the product to the specified descriptions and include the warranty terms within the product description on their platform page.

Legal Warranty:

Any warranty provided by the merchant is subject to the Lebanese laws in force, including consumer protection laws, and the merchant must respect and apply these laws fully.

Platform's Non-Liability:

The platform does not bear any legal or financial responsibility for any claims arising from product defects, misuse, or non-conformity, and all claims will be directed to the responsible merchant.

Communication Regarding Warranty:

In case of any warranty-related dispute, the buyer should communicate directly with the merchant, and if a resolution cannot be reached amicably, a complaint can be filed through the platform's support section for mediation.

Article 22 – Merchant's Responsibility:

Product Quality and Information Accuracy:

The merchant bears full responsibility for the quality of the products or services offered on the "ChaabanStores " platform and is obligated to provide accurate, clear, and truthful information about them, including images, descriptions, specifications, and price.

Compliance with Laws and Regulations:

The merchant acknowledges and commits to full compliance with all laws and regulations in force in the Lebanese Republic, particularly those related to consumer protection, commercial fraud, taxes, environment, and health and safety.

Order Fulfillment:

The merchant must prepare and ship orders within the specified time frame, ensure secure delivery to the customer, and bear responsibility for any delays or failures in fulfilling orders.

Handling Complaints and Returns:

The merchant is obligated to handle customer complaints professionally and transparently, apply the platform's return and exchange policy, and resolve any disputes amicably whenever possible.

Data Protection:

The merchant is prohibited from using or exploiting customer data obtained through sales on the platform for commercial or promotional purposes outside the scope of the platform and must respect customer privacy.

Trademark and Content Compliance:

The merchant ensures that the products displayed do not infringe on any trademark or intellectual property rights and commits not to display any offensive, misleading, illegal, or unauthorized content.

Legal Responsibility:

In case of any violations or breaches by the merchant, the merchant bears full legal, financial, and administrative responsibility, and the platform does not bear any liability or obligation resulting from such actions.

This relationship does not constitute a partnership, legal representation, agency, or employment relationship of any kind.

Merchant's Independence:

The merchant retains full independence in managing their store and determining their sales policies, within the limits of the applicable laws and without violating the platform's terms and policies.

Official Notifications:

Official notifications and correspondence between the platform and merchants are exchanged through the official electronic channels such as the official email or the control panel within the merchant account, and these notifications are legally binding.

Updates and Announcements:

The platform is committed to informing merchants of any updates to policies, terms, or services, and the merchant's continued use of the platform after receiving these notifications constitutes implicit acceptance of the amendments.

Communication with Support:

The merchant has the right to communicate with the platform administration or technical support team at any time for inquiries, complaints, or service-related questions through the designated channels on the official website.

Article 24 – Transfer of Rights and Obligations:

Prohibition of Transfer Without Permission:

The merchant is not allowed to transfer or assign any of their rights or obligations arising from this agreement or from the use of the "ChaabanStores " platform to a third party without obtaining prior written consent from the platform administration.

Platform's Right to Transfer:

The "ChaabanStores " platform reserves the right to transfer or assign its rights or obligations, or any part thereof, to any third party, such as subsidiaries or contracted entities, without the need for the merchant's consent, provided that this does not affect the merchant's obligations towards the platform or its users.

Special Cases for Transfer:

In case of merger, acquisition, sale (in whole or in part) of the platform, or transfer of ownership, this agreement remains in force and binding, and all rights and obligations will be transferred to the new owning or operating entity.

Continuity of Obligations:

The transfer of rights or obligations, whether by the merchant or the platform, does not affect the pre-existing obligations, and all prior rights and responsibilities remain in effect until settled.

Article 25 – Applicable Law and Jurisdiction:

Lebanese Law:

This agreement and any disputes or claims arising from it are subject to the laws of the Lebanese Republic only, and the Lebanese courts have exclusive jurisdiction over any disputes.

Local and International Legislation:

In case of conflict between local or international laws, Lebanese law will apply in all cases, including consumer protection laws and commercial regulations.

Dispute Resolution:

If any dispute or claim arises between the merchant and the "ChaabanStores " platform, the parties will attempt to resolve it amicably. If amicable resolution is not possible, the dispute will be referred to the competent Lebanese courts in accordance with Lebanese laws.

Compliance with Laws:

Both the merchant and the "ChaabanStores " platform are committed to complying with all local and international laws related to e-commerce, data protection, consumer rights, and other relevant legal terms.

Article 26 – Merchant's Obligations Towards Consumers:

Transparency and Integrity:

The merchant must provide accurate, complete, and clear information about the products or services offered on the platform, including prices, specifications, and features, to enable consumers to make informed decisions.

Compliance with Consumer Rights:

The merchant must respect consumers' rights as stipulated in local laws, including the right to return or exchange products in case of defects or non-conformity with the advertised product.

Customer Service:

The merchant is obligated to provide professional and efficient customer service, respond to consumer inquiries promptly, and offer the necessary support to resolve any issues during or after the purchase process.

Protection of Personal Data:

The merchant must protect consumers' personal data and use it only in accordance with applicable laws. The merchant is prohibited from using consumer data for any purposes other than those directly related to commercial transactions.

Non-Discrimination:

The merchant must treat all consumers fairly and equally, without discrimination based on gender, race, religion, or any other considerations. All commercial transactions must be free from discrimination or exploitation.

Compliance with Platform Policies:

The merchant must adhere to all policies and terms set by the "ChaabanStores " platform, including shipping, return, and delivery policies, and ensure that their commercial activities comply with these policies.

Transparency in Financial Transactions:

The merchant must clearly disclose all additional fees or costs related to the products or services, such as shipping fees or taxes, to ensure consumers are fully aware of all associated costs.

Article 27 – Printed and Electronic Advertising Materials and Special Offers on the ChaabanStores Platform:

Advertising Materials:

The "ChaabanStores " platform has the right to use printed and electronic advertising materials to promote the products and services offered on the platform. These advertisements include emails, social media posts, print materials, and digital ads on the website.

Compliance with Laws:

All advertising materials and special offers must comply with the laws and regulations in force in the Lebanese Republic, including consumer protection and commercial advertising laws.

Special Offers:

The platform periodically offers special promotions, discounts, and advertising campaigns for consumers. Merchants are obligated to comply with the terms and conditions of these promotions as specified in each campaign.

Communication with Consumers:

Consumers must be informed clearly and transparently about all special offers, including the offer duration, special conditions, and associated costs.

Use of Advertising Materials by Merchants:

Merchants may use the advertising materials provided by the "ChaabanStores " platform to promote their products, provided they comply with the platform's terms and do not use them for any other purpose.

Prohibition of Unauthorized Advertising:

Merchants are prohibited from publishing any unauthorized advertising materials or promotional offers on the platform or through any communication channels without the platform's approval. Any advertising content must be accurate and not misleading or illegal.

Article 28 – Strategic and Logistical Services (Third-Party Services):

Cooperation with Third Parties:

The "ChaabanStores " platform reserves the right to cooperate with third-party service providers to offer strategic and logistical services to the platform's subscribers. These services include shipping, storage, delivery, and logistical support related to completing sales and purchase transactions.

Selection of Service Providers:

The platform selects third-party service providers based on quality and efficiency criteria in performing the assigned tasks. The platform commits to working with accredited and reliable companies to ensure high-quality logistical services for all merchants and consumers.

Third-Party Obligations:

Third-party service providers must comply with all policies and terms set by the "ChaabanStores " platform, including service standards and contractual obligations. These providers must maintain a high level of professionalism to ensure customer satisfaction and trust.

Coordination with Third Parties:

In case of using third-party services, the platform is responsible for coordinating between the merchant and the service provider to ensure smooth and efficient service delivery. The platform supervises the execution of logistical operations.

Platform's Non-Liability:

The platform is not responsible for any delays or issues caused by third-party service providers related to shipping, delivery, or other logistical services. However, the platform will assist in resolving any disputes that may arise between the merchant and the service provider.

Modifications to Third-Party Services:

The platform reserves the right to modify or change third-party service providers at any time to ensure the best service quality and user experience.

Article 29 – Technical Support:

Technical Support Services:

The "ChaabanStores " platform provides technical support services to all users and merchants on the platform. Technical support includes assistance with technical issues, website support, and answering inquiries related to the technologies used on the platform.

Communication Channels:

Users and merchants can contact the technical support team through the designated channels provided by the "ChaabanStores " platform, such as email or live chat (if available), or by phone.

Technical Support Hours:

The technical support team operates during official business hours and will respond to inquiries as soon as possible. The platform's operating hours and local time zone are determined according to the platform's official schedule.

Responding to Technical Issues:

In case of any technical issues or problems on the platform, the technical support team is committed to investigating and resolving the issue promptly and providing solutions or guidance to users.

Additional Resources:

In addition to direct customer support, the platform provides self-help resources, including FAQs and online support catalogs that explain how to handle common technical issues.

Article 30 – Dispute Resolution:

Amicable Settlement:

The "ChaabanStores " platform first seeks to resolve any disputes or disagreements between merchants and consumers or between users amicably through direct negotiation. In case of a dispute, parties are encouraged to contact the platform's customer service team to attempt a quick and effective resolution.

Mediation:

If amicable settlement fails, parties may resort to mediation with a neutral third-party mediator to assist in resolving the dispute. The platform will help in identifying a suitable mediator according to established criteria.

Legal Jurisdiction:

If the dispute persists and cannot be resolved through mediation, parties have the right to refer the matter to the Lebanese courts. The jurisdiction lies with the Lebanese courts, and disputes will be settled according to the laws and regulations in force in the Lebanese Republic.

Compliance with Judicial Decisions:

In case of a judicial decision, all parties must comply with the court's ruling. Both the platform and the users are obligated to adhere to the legal decisions and the applicable local laws in such cases.

Costs and Fees:

The losing party in the dispute bears all costs and fees related to the dispute resolution, including mediation fees or legal costs. If both parties are found responsible, the costs may be divided fairly according to the court's or mediator's discretion.

Confidentiality:

All dispute resolutions related to the "ChaabanStores " platform will be handled confidentially, and details of the case will only be disclosed to the involved parties or relevant legal authorities. The platform ensures complete confidentiality throughout the dispute resolution process.

Article 31 – General Provisions:

Binding Nature of Terms:

All terms and conditions stated in this agreement are binding on all signatory parties, and both the merchant and the consumer must comply with all provisions of this agreement while using the "ChaabanStores " platform. In case of any conflict between these terms and any other terms, the terms of this agreement shall prevail.

Amendments to the Agreement:

The "ChaabanStores " platform reserves the right to amend this agreement at any time by updating the terms or adding new provisions, and all users and merchants are required to review this agreement periodically. Users will be notified of any significant changes through the available channels such as email or platform notifications.

Non-Applicability of Terms:

If any provision of this agreement is found to be invalid or unenforceable under applicable laws, it will not affect the validity of the remaining provisions, which shall remain in full force and effect. The platform will amend any invalid provision to comply with the laws.

Governing Language:

In case of any discrepancy between different language versions of this agreement (if available), the Arabic version shall prevail and be binding on all parties.

Integration with Other Agreements:

This agreement is considered part of any other agreements that may be entered into between the users and the "ChaabanStores " platform in the future. No part of this agreement may be modified or waived except with the written consent of both parties.

Independence of Provisions:

Any delay or omission by the "ChaabanStores " platform in enforcing any provision of this agreement shall not be construed as a waiver of the platform's rights, and such delay or omission shall not affect the validity of such provisions in the future.

Jurisdiction:

The Lebanese courts have jurisdiction over all disputes and claims arising from the interpretation or enforcement of this agreement, and all parties are subject to the legal authority of the Lebanese courts in this regard.

Implementation:

This Agreement shall be effective and binding upon acceptance by the User or Merchant upon registration on the ChaabanStores Platform or upon use of the Platform’s services.
